Licence to use the CLT envirolaw e-learning tool
In this Licence, "we" or "us" means CLT envirolaw, a company limited by guarantee, incorporated in England & Wales with registered number 06678818
This Licence governs your use of the CLT envirolaw e-learning tool (hereinafter "CLT envirolaw e-learning"). You should read the terms and conditions of this Licence before purchasing access to CLT envirolaw e-learning. By purchasing access to CLT envirolaw e-learning, you accept the terms and conditions of this Licence in full. If you disagree with any of the terms or conditions set out below, you must not use CLT envirolaw e-learning.
You acknowledge that all copyright and other intellectual property rights in CLT envirolaw e-learning or in any proprietary information it may contain belong to us or our licensors, that rights in CLT envirolaw e-learning are licensed (not sold) to you, and that you have no rights in, or to, CLT envirolaw e-learning, other than the right to use it in accordance with this Licence. We retain all rights not expressly granted to you under this Licence.
3. Licence to use CLT envirolaw e-learning
(a) In consideration of the payment set out on the registration page , we hereby grant you a non-exclusive, non-transferable licence to use CLT envirolaw e-learning, on the terms and conditions set out in this Licence.
(b) You may use CLT envirolaw e-learning for the purposes of training
(c) You are permitted to view, print pages and download resources from CLT envirolaw e-learning for your own personal use, subject to the restrictions set out in this Licence
(d) Your payment to use CLT envirolaw e-learning is non-refundable.
(a) You agree:
(i) not to copy CLT envirolaw e-learning;
(ii) not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify CLT envirolaw e-learning;
(iii) not to make alterations to, or modifications of, the whole or any part of CLT envirolaw e-learning nor permit CLT envirolaw e-learning or any part of it to be combined with, or become incorporated in, any other software programs; and
(iv) subject to applicable law, not to disassemble, decompile or reverse engineer CLT envirolaw e-learning, nor attempt to do any such things.
(b) This Licence is personal to you and you must not assign or otherwise transfer this Licence to any other person. For the avoidance of doubt, you must not provide your CLT envirolaw e-learning log-in details to any other person.
(c) You acknowledge that you have no right to have access to CLT envirolaw e-learning in source code form.
5. Limitations and exclusions of liability
(a) To the fullest extent permitted by law, we shall not be liable for any loss including, but not limited to, any special, indirect or consequential loss or damage in respect of business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill arising from your access to or use of CLT envirolaw e-learning.
(b) For the avoidance of doubt, we will not be liable to you in respect of any loss or corruption of any data, database or software.
(c) We give no representation or warranty relating to the performance, quality or fitness for purpose of CLT envirolaw e-learning. We do not warrant that the functions of CLT envirolaw e-learning will meet your requirements nor that CLT envirolaw e-learning will be error-free or uninterrupted.
(d) No provision of this Licence shall be taken as limiting or excluding:
(i) our or your liability for death or personal injury resulting from negligence;
(ii) our or your liability for fraud or fraudulent misrepresentation; or
(iii) any of our or your liabilities which cannot be excluded or limited under applicable law .
You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including, without limitation, legal expenses) incurred or suffered by us arising out of any breach by you of any provision of this Licence, or arising out of any claim that you have breached any provision of this Licence.
7. Breach of Licence
(a) Without prejudice to our other rights under this Licence, if you breach this Licence in any way, or if we reasonably suspect that you have done so, we may:
(i) send you one or more formal warnings;
(ii) temporarily suspend your access to, or permanently prohibit you from accessing, CLT envirolaw e-learning (such as through disabling your log-in details or suspending or deleting your CLT envirolaw e-learning account); or
(iii) bring court proceedings against you for breach of contract or otherwise.
(b) Where we suspend, prohibit or block your access to CLT envirolaw e-learning, you must not take any action to circumvent such suspension, prohibition or blocking (including, without limitation, creating and/or using a different account or using another person's log-in details).
8. Third party content
CLT envirolaw e-learning includes hyperlinks to other websites owned and operated by third parties. These links are provided for information purposes only. We have no control over the contents or accessibility of third party websites linked to or referenced on this website, we accept no responsibility for them or for any loss or damage that may arise from your use of them, and we make no endorsement of, nor make any representation in relation to the content of, any external website.
If any term or provision of this Licence is or becomes invalid, illegal or unenforceable, the remainder shall survive unaffected.
10. Entire agreement
This Licence sets out the entire agreement between you and us in relation to your use of CLT envirolaw e-learning and supersedes any previous agreements in respect of your use of CLT envirolaw e-learning.
11. Governing law and jurisdiction
This Licence and any non-contractual obligations arising out of or in connection with this Licence shall be governed solely by English law, and the Courts of England and Wales shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with this Licence.
